What does it cost to dissolve an LLC in Nevada?
The direct filing cost is moderate. The Nevada Secretary of State charges a fee to file Articles of Dissolution, often cited around $100, though the office sets the current figure, so confirm it before filing.
The number that actually drives most Nevada decisions is the recurring one. Nevada has no state income taxbut it charges every LLC an annual state business license fee and an annual list fee for filing its managers or members, together a few hundred dollars every year. Those keep landing until the LLC is dissolved, which is why an idle Nevada LLC is worth closing rather than leaving on the register. See how Nevada compares in the main dissolution guide.
| State | State fee | Dissolution form | Clearance needed first? |
|---|---|---|---|
| Nevada | ~$100 (confirm) | Articles of Dissolution | No income tax; list current |
| California | $0 | LLC-4/7 (Certificate of Cancellation) | FTB obligations current |
| Delaware | ~$200 | Certificate of Cancellation | Franchise tax paid in full |
| Florida | $25 | Articles of Dissolution | None |
Fees and rules change; we confirm the current figures with the Secretary of State and the Department of Taxation before we file.
How do you dissolve an LLC in Nevada, step by step?
The order keeps the filing clean. In Nevada the common snag is trying to dissolve while the annual list or state business license has lapsed, the state generally wants the entity current first.
- Vote to dissolve and record it. Approve the dissolution the way your operating agreement requires, and keep a short written record of the decision.
- Wind up the business. Notify known creditors, settle or set money aside for debts, collect receivables, and distribute anything left to members. Handle debts before distributionsnot after.
- Be current on the list and license. Bring the annual list and state business license current if they have lapsed, so the Secretary of State can process the dissolution cleanly.
- File the Articles of Dissolution. Submit them to the Secretary of State through the SilverFlume portal. This is the step that ends the entity with the state.
- Close the IRS account. File final federal returns and send the IRS a letter to close the business account attached to your EIN.
- Cancel everything else. Any Department of Taxation accounts, local business licenses, DBAs, and any foreign registrations in other states.
Which form do you file in Nevada?
A Nevada LLC files Articles of Dissolution with the Secretary of Statetypically through the online SilverFlume portal. That document ends the LLC's existence in Nevada. It is Nevada's version of what many states call articles of dissolution. Confirm the exact current form and fee on SilverFlume, since references and pricing are periodically updated.
Filing the articles is the state half of the job. It does not, on its own, close your IRS account or any Department of Taxation accounts, those are separate steps you handle so nothing sits open behind the dissolution.
Does Nevada require tax clearance first?
Nevada has no state personal or corporate income taxso there is no income-tax clearance letter for most LLCs. Larger businesses may fall under the Commerce Taxand employers have payroll-related obligations, so confirm any accounts with the Nevada Department of Taxation. For most small LLCs, the practical prerequisite is being current on the annual list and state business license rather than obtaining a tax certificate.
State business license and annual list
Two recurring obligations define the cost of a Nevada LLC. The state business license is an annual fee most LLCs must pay to operate in Nevada. The annual list is a yearly filing with the Secretary of State that reports the LLC's managers or managing members, and it carries its own fee. Together they typically run a few hundred dollars each year.
Because both keep accruing until the LLC is dissolved, and lapsing on them leads to the entity falling out of good standing, with penalties, they are the main reason to close a Nevada LLC you no longer use rather than let it drift. Filing the Articles of Dissolution is what stops the annual list and business license from renewing. Confirm the current fee amounts and any late penalties with the Secretary of State, since these are periodically adjusted.
How long does it take in Nevada?
The paperwork itself is quick, a day or two to prepare the Articles of Dissolution. Filing online through SilverFlume is often processed quickly, and expedited handling is available for an added fee. If the annual list or business license has lapsed, bringing the entity current first can add time up front.
| Stage | Typical time |
|---|---|
| Prepare Articles of Dissolution | 1โ2 business days |
| Bring list / license current (if lapsed) | Varies with how far behind |
| SilverFlume processing | Often quick; expedite available |
| Final federal returns | Filed for the final tax year |
Confirm current standard and expedite times with the Secretary of State before relying on a date.
What about your EIN and final taxes?
Filing the Articles of Dissolution closes the Nevada entity. It does not touch your federal tax life. The IRS does not cancel an EIN, the number is permanent and never reassigned, so what you actually do is close the IRS business account behind it. The IRS will not close that account while final returns are outstanding, and the Nevada filing gives the IRS no signal at all.
Because Nevada has no state income tax, there is usually no state income return to mark final, but close any Commerce Tax or payroll accounts with the Department of Taxation if they applied. On the federal side, the final returns and IRS account closure are what actually finish the job.
What if you never used the Nevada LLC?
If the LLC never really traded, the job is lighter, often just the Articles of Dissolution with the Secretary of State, provided the annual list and business license are current or brought current. If the LLC never obtained an EIN and had no Department of Taxation accounts, a state-only dissolution is usually the whole job.
If it did get an EIN, you still have that federal account to close even though the business never used it. A specialist can confirm which route your facts put you in before you pay for anything.
