How to cancel a DBA

To cancel a DBA, file a cancellation, withdrawal, or abandonment form with the same office that registered it, usually the county clerk or the Secretary of State, and pay a small fee. Dissolving your LLC or corporation does not cancel a DBA for you; it's a separate filing.

What does cancelling a DBA mean?

A DBA, β€œdoing business as,” also called a fictitious name or assumed name, is a trade name your business uses that isn't its legal name. A single-member LLC named Riverside Holdings LLC might trade as Riverside Cafe under a DBA. That name is a separate registration on file with a government office, and it doesn't disappear on its own when you stop using it or close the underlying business.

Cancelling the DBA formally retires the name: it releases it for others to use, ends any renewal obligation, and removes the public link between the name and you. It is a small filing, but it is one of the loose ends that keeps a β€œclosed” business generating mail if you skip it.

DBA cancellation is separate from dissolution
Filing articles of dissolution ends the entity. It does not touch a DBA, which usually sits at a different office. If your company held a trade name, you cancel that name separately.

Where is your DBA registered?

This is the part that trips people up, because it varies by state. In many states, DBAs are filed at the county level with the county clerk or recorder, and if you operated in several counties, you may have registered the same name in each. In other states, DBAs are filed with the Secretary of State or an equivalent state agency. You cancel a DBA at the same office that registered it, using that office's cancellation form.

If you're not sure where yours lives, look at the original certificate, or ask a specialist, finding the right office is half the job.

How do you cancel a DBA, step by step?

  1. Find the registering office. The county clerk/recorder or the state agency named on your original fictitious-name certificate.
  2. Get the right form. Called a cancellation, withdrawal, statement of abandonment, or termination of assumed name, depending on the state.
  3. Complete it. You'll typically supply the exact registered name, the original filing number and date, and the owner or entity details. Some offices require it to be notarized, mirroring the original filing.
  4. File and pay. Submit to the same office and pay the fee. If the name was registered in more than one county, file a cancellation in each.

What does it cost to cancel a DBA?

Usually a modest fee, commonly in the $5 to $50 range depending on the office, occasionally with a notarization or, in a few states, a publication requirement that echoes the original registration. We charge any county or state fee at cost and confirm the exact figure for your filing office before we submit anything. See the wider cost of closing a business.

How DBA cancellation fits into closing a business

On its own, a DBA cancellation is a five-minute errand. The reason it matters is that it's one of a handful of registrations that outlive the entity if you forget them, alongside your IRS business accountstate tax accounts, licenses and permits, and any foreign registrations. Closing a business properly means clearing all of them, not just the headline dissolution filing. Our complete closure checklist covers the full set.

Rather have it handled?

DBA cancellation is included in Complete Closure, and we can handle a standalone cancellation as part of shutting a business down. A specialist finds the office that holds your registration and files it for you.

Cancelling a DBA: common questions

What is a DBA and why cancel it?

A DBA, 'doing business as,' also called a fictitious or assumed name, is a trade name your business operates under that isn't its legal name. It's registered with a county or state office. When you stop using the name or close the business, cancelling the DBA releases the name and stops any renewal obligations attached to it.

Do I have to cancel my DBA when I dissolve my LLC?

Dissolving the LLC doesn't automatically cancel a DBA, they're separate registrations, often at different offices. If your LLC held a DBA, you cancel the DBA separately, usually with the county clerk or state agency where it was filed. On Complete Closure we handle the DBA cancellation as part of closing everything down.

Where do I cancel a DBA?

Wherever you registered it. In many states DBAs are filed at the county level with the county clerk; in others they're filed with the Secretary of State. You file a cancellation, withdrawal, or abandonment form with that same office. If the same name was registered in more than one county, each needs its own cancellation.

How much does it cost to cancel a DBA?

Usually a small filing fee, commonly $5 to $50 depending on the county or state, sometimes with a notarization or publication requirement mirroring the original registration. We charge state and county fees at cost and confirm the exact figure for your filing office before submitting.

What happens if I don't cancel my DBA?

The name stays registered to you, may keep incurring renewal fees, and remains publicly tied to your business. Leaving it active can also let the name look 'in use' when you'd rather release it. Cancelling closes that loop cleanly as part of a complete shutdown.

Can you cancel a DBA for me?

Yes. DBA cancellation is included in Complete Closure ($399), and we can handle a standalone DBA cancellation as part of closing your business. A specialist confirms which office holds your registration and files the cancellation for you, ask on WhatsApp any time.
